Incorporate your Vaughan business in Ontario or federally, with a CPA reviewing the share structure for tax and future holding companies. Packages from $499.
Vaughan owners often think a step ahead when they incorporate. A contractor wants the operating company set up so a holding company can be added once profits build up. A family business wants a second generation to own growth shares. A builder plans a separate company for each project or for the yard. Getting the first corporation’s share classes right is what makes those later steps cheap rather than a costly reorganization.
I’m Wajahat Ajmal, CPA, FCCA. T-Ledgers is a CPA-led accounting firm practising since 2020. We incorporate businesses in Woodbridge, Concord, Maple, Kleinburg and Thornhill by phone, video and email, and our closest office is in Etobicoke at 102-89 Skyway Ave.
Vaughan businesses we incorporate most often: renovation, paving and landscaping contractors, distributors and manufacturers, restaurants and banquet businesses, and owners planning a holding company later.
Share structure and the full process are on our main incorporation services page.

| Local rule | What changes when you incorporate | Official source |
|---|---|---|
| Registered office | Must be a street address in Ontario where records are kept; if your yard or warehouse is leased, using it as the registered office keeps your home address off the public registry. | Ontario Business Corporations Act |
| City of Vaughan contractor licences | Under By-law 122-2022, renovators, fence installers, pavers, landscapers, pool installers and snowplow contractors need a City licence. We check whether it must be reissued to the company. | Vaughan contractor licensing |
| Land transfer tax on property moved into the company | Usually payable even with a section 85 rollover. | Ontario land transfer tax |
Law: Municipal Act, 2001 s.151(1) (business licensing); Land Transfer Tax Act s.2(1) (Ontario land transfer tax).
An illustrative example (not a client story). A Vaughan landscaping business run as a sole proprietorship is winning larger commercial contracts. We incorporate an Ontario company with separate voting and non-voting share classes, so a holding company or family members can come in later without a reorganization. The business number and GST/HST account are set up, the City contractor licence is checked for the new company, and the trucks and equipment move in under a section 85 election, quoted separately.
Getting set up in Vaughan. Many Vaughan founders set up an operating company and a holding company together, especially in construction. We plan the shares so dividends can flow to the holding company. The Vaughan Business and Entrepreneurship Centre at City Hall offers free business advice, and its Vaughan Starter Company Plus program may provide training and a grant.

Government fees are passed through at cost: $300 to incorporate in Ontario or $200 online federally, as published on October 13, 2026 (see Ontario fees and Corporations Canada fees).
Ontario and federal corporations are taxed the same; we usually recommend Ontario for a business selling mainly in Ontario. A qualifying corporation pays 11.2% combined on its first $500,000 of active business income (9% federal plus 2.2% Ontario from July 1, 2026).
Law: Ontario Business Corporations Act s.4 (articles of incorporation); Ontario Business Corporations Act s.14 (registered office in Ontario); Canada Business Corporations Act s.105(3) (resident directors); Corporations Information Act s.3.1 (annual return); Income Tax Act s.85(1) (rollover of assets to a corporation).

Before, if you can. A contract signed in the corporation’s name keeps that revenue in the company from day one, instead of moving it across later.
Rarely on day one, because it adds a second T2 and minute book. We set up the operating company’s shares so a holding company can be added later; holdco setup is quoted separately.
$499 for incorporation only or $999 with full legal documents, plus HST/GST and government fees. Section 85 rollovers, holding companies and professional corporations are quoted separately.
Check with the City for your licence type. We flag it when the corporation is set up and add the renewal to its calendar.
Yes, by appointment at our Etobicoke or Mississauga office. Most incorporations are done online.
Often it makes sense to set both up together, so surplus profits can move to the holding company as tax-free intercorporate dividends in most cases. We review your plans on the first call and quote the holding company separately.
